안녕하세요 이번에는 국내스팩(SPAC)주의 구조, 상장절차, 합병절차에 대해서 공부해보는 시간을 가져보도록 하겠습니다.

본 내용은 한국거래소에 있는 내용을 토대로 정리했습니다.

스팩상장의 의의

SPAC (Special Purpose Acquisition Company)은 공모(IPO)를 통해 조달한 자금을 바탕으로 다른 기업과 합병하는 것을유일한 목적으로 하는 명목회사 (Paper Company)입니다.

SPAC의 도입으로 일반투자자들도 투자의 안정성을 보장받으면서 소액으로 기업 인수합병시장에 참여할 수 있게 되어있습니다.

유망한 비상장기업들이 주식시장의 상황에 구애받지 않고 적기에 대규모 투자자금을 조달하면서 상장할 수 있는 길이 마련되었습니다.

스팩상장의 기본구조

일반적으로 SPAC은 법인설립, IPO 및 상장, M&A라는 3단계 사이클을 통해 그 목적을 달성하게 됩니다.

설립단계에서는 소수의 발기인에 의해 SPAC 법인설립 작업이 이루어집니다. SPAC은 주식회사이므로 주식회사의 설립절차를 따르며, 발기인은 설립 당시에 발행되는 주식을 인수합니다.

다음으로 SPAC은 설립 후 상장을 위하여 IPO를 실시하는데, 이 때 가장 중요한 특징 중의 하나가 공모자금의 별도 예치입니다. SPAC은 일반주주에게 투자원금 수준의 금액을 보장해주기 위하여 공모자금의 90% 이상을 금융기관에 예치하여 인출을 제한하고 있습니다.

IPO가 완료되면 SPAC은 그 발행 주권을 거래소에 상장하게 됩니다. 상장을 위해서는 거래소가 요구하는 상장요건을 충족해야 하며, 일반적으로 M&A 외에 다른 사업목적을 가지고 있지 않은 SPAC의 특성을 반영하여 상장특례를 인정하고 있습니다.

SPAC의 경영진은 상장 후 M&A를 하기 위해 대상기업을 탐색합니다. 대상기업의 가치는 의무예치금액의 80% 이상이 되어야 하고, 발기인과 이해관계가 있는 회사는 대상기업이 될 수 없습니다. 대상기업이 결정되면 합병상장예비심사청구서를 거래소에 제출하여 비상장법인에 대한 상장적격성 심사를 받아야 합니다.

거래소의 합병상장심사 승인을 받은 경우 M&A를 최종적으로 결정하기 위한 주주총회가 개최되는데, 이때 발기인은 의결권 행사가 제한되므로 전적으로 일반주주의 의사에 따라 M&A에 대한 결정이 내려집니다.

주주총회에서 M&A를 승인하면 대상기업은 상장기업의 지위를 얻게 되며, SPAC이 존속기한 내에 M&A를 완료하지 못하는 경우에는 의무예치금액을 일반주주에게 반환하는 등 청산절차가 진행됩니다.

스팩상장의 신규상장절차

1. SPAC의 설립

SPAC은 발기인(자기자본 1,000억원 이상 금융투자업자 1인 이상 포함)에 의해 주식회사 형태로 설립됩니다. 정관작성, 임원선임 등 설립관련 실무절차는 발기인으로 참여한 금융투자업자의 주도하에 진행되며, 최종적으로 법인등기를 통해 SPAC의 설립이 완료됩니다.

발기인은 설립 시 발행하는 주식을 인수, 대금을 납입하여 회사의 기초자본을 형성하게 되는데, 이 때 금융투자업자로 하여금 SPAC 주식 등의 발행총액 중 5%이상을 소유하도록 하여 금융투자업자가 SPAC의 성공을 위해 책임을 지고 최선을 다하도록 제도적 장치를 마련하였습니다.

2. SPAC 신규상장 예비심사 청구

증권시장에 신규상장 하고자 하는 SPAC은 거래소에 상장예비심사청구서를 제출하여 SPAC의 상장적격성 심사를 의뢰합니다.

상장예비심사청구서 제출시에는 재무제표등 일반기업 심사서류 외에 공모전 주주등 보호예수 관련 서류, 자금예치계약서, 금융투자업자 소유주식 등의 발행총액 확인서, 공모전 주주등 의결권 관련 약정서, 채무증권 인수계약서 등을 추가로 제출해야 합니다.

3. 예비심사 및 결과통보

거래소는 SPAC의 계량적인 요건에 대한 심사와 함께 정관 필수기재사항, 투자자보호와 관련된 주요 계약내용 등에 대한 질적심사를 실시한 후 심사결과를 회사에 통보합니다. (SPAC 심사에 대한 상세한내용은 신규상장 - 상장심사 요건 메뉴를 참고하시기 바랍니다.)

4. 공모(IPO) 및 신규상장신청

상장예비심사결과 상장적격성이 인정된 SPAC은 IPO(공모)를 실시하고, 주식공모 완료일(주금 납입기일)까지 거래소에 주권 신규상장신청을 합니다.

5. 신규상장

거래소는 공모를 통해 주식의 분산이 충분히 이루어졌는지를 심사한 후 SPAC의 상장을 승인하며, 상장 이후에 투자자는 장내에서 SPAC 주권을 자유롭게 거래할 수 있습니다.

· '지배구조', '금융투자업자(발기인) 및 임원자격' 등 요건 추가

· 투자자보호 관련 핵심사항을 정관 필수기재사항으로 명시 의무화

Significance of the SPAC listing



SPAC (Special Purpose Acquisition Company) is a paper company whose sole purpose is to merge with other companies based on funds raised through IPOs.



With the introduction of SPAC, general investors can participate in the corporate mergers and acquisitions market with small amounts of money while ensuring stability of their investments.



There is a way for promising unlisted companies to go public in a timely manner, regardless of the stock market situation.



Characteristics of the Spac System



High investment reliability

· Deposit 90% or more of the public funds separately and return them if the merger fails within 3 years.

· Deposits are prohibited from being withdrawn or provided as collateral.



Providing M&A investment opportunities to general investors

· Individuals can participate in M&A investment by acquiring SPAC shares.

· General shareholders' decision to merge at the general shareholders' meeting (restrictions on the exercise of voting rights by shareholders before the contest)



High deposits and liquidity

· Available for sale in the market after listing

· The right to purchase shares can be exercised if the merger is opposed.



Large-scale financing for blue-chip companies

· The effect of both listing and paying capital increase through merger with blue-chip companies.


Basic Structure of Spac Listing



In general, SPAC achieves that goal through a three-step cycle of incorporation, IPO and listing, and M&A.



In the establishment phase, the SPAC incorporation is carried out by a small number of promoters. Since SPAC is a stock company, it follows the establishment process of the stock company, and the promoter acquires the shares issued at the time of establishment.



Next, SPAC conducts IPO for listing after establishment, one of the most important features of which is a separate deposit of public funds. SPAC restricts withdrawal by depositing more than 90% of the public funds in financial institutions to guarantee the principal amount of investment to ordinary shareholders.



When the IPO is completed, SPAC will list its issued shares on the exchange. To be listed, the exchange must meet the listing requirements, and the listing special cases are generally recognized by reflecting the characteristics of SPAC, which does not have any business purpose other than M&A.



The management of SPAC explores the target company to do M&A after listing. The value of the target company must be at least 80% of the mandatory deposit amount, and the company that has an interest in the promoter cannot be the target company. If the target company is determined, an application for a preliminary review of the merger listing must be submitted to the exchange for a listing eligibility review of the unlisted corporation.



If the merger listing review is approved by the exchange, a general meeting of shareholders will be held to determine the final M&A, at which time the promoter is restricted from exercising voting rights, so the decision on M&A is made entirely according to the will of the general shareholders.



If the M&A is approved at the general meeting of shareholders, the target company will gain the status of the listed company, and if the SPAC fails to complete the M&A within its lifetime, the liquidation process will proceed, such as returning the mandatory deposit to the general shareholders.


New listing procedure for SPAC listing



1. Establishment of SPAC

SPAC is established in the form of a corporation by promoter (including more than 100 billion won in equity and more than one financial investor). The establishment-related working-level procedures, such as the creation of articles of association and the appointment of executives, will be led by financial investment companies who participated as promoters, and the establishment of SPAC will be completed through corporate registration.

The promoter takes over the shares issued at the time of establishment and pays for them to form the company's basic capital, which allows the financial investor to own more than 5% of the total issued SPAC shares and provides an institutional mechanism for the financial investor to take responsibility for SPAC's success.



2. SPAC New List Preliminary Review Request

SPAC, which wants to be newly listed on the stock market, submits an application for a preliminary listing review to the exchange and requests a screening of SPAC's listing eligibility.

In addition to general company screening documents such as financial statements, additional documents related to protection, fund deposit contracts, financial investor-owned shares, voting rights-related agreements such as contest shareholders, debt securities acceptance contracts, etc. must be submitted.



3. Preliminary examination and notification of results

The exchange will conduct qualitative reviews of the requirements of SPAC and the qualitative review of the articles of association, major contracts related to investor protection, etc. (For details of SPAC review, refer to the New Listing - Listing Requirements menu.))



4. Application for public offering (IPO) and new listing

SPAC, which is recognized as eligible for listing as a result of listing preliminary screening, conducts an IPO (public offering) and applies for a new listing of its sovereignty on the exchange by the date of completion of the stock offering (the date of payment of shares).



5. New listing

The Exchange will review the distribution of shares through public offerings and approve the listing of SPAC, and after the listing, investors will be free to trade SPAC sovereignty in the market.


Requirements for the review of new listing of SPAC listing



Quantitative requirements

· Exclusion of applications such as 'Business activity period', 'Management performance', 'Maximum shareholder change restriction', etc.

· Add requirements such as 'control structure', 'financial investment business operator (initiator), executive qualification', etc.



Qualitative test

· Qualitative examinations are conducted focusing on 'control structure', 'internal control system', 'management-related matters', and 'different contract contents'.



Mandatory entry of articles of association

· Mandatory to specify key matters related to investor protection as mandatory in the articles of association


Merger procedure of SPAC listing



Procedure

Board Resolution → Merger Disclosure → Submission of preliminary review of merger listing and related documents → Notification of listing review and review results → Submission of securities declaration/ holding shareholders' meeting, etc.



Subject to examination

A non-listed corporation that merges with SPAC.



Submission documents

Review-related documents, such as preliminary audit invoices and financial statements, etc.

(including certificate of protection (one year after listing) for the largest shareholder's shares, etc.)



Other matters

Shares issued in accordance with the merger are listed in accordance with the new stock listing process.
